About the Investment: UBS ETRACS 2xLeveraged Long Wells Fargo Business Development Company Index (BDCL)
Banks and brokerage firms advertised the UBS ETRACS ETNs as offering steadier and more lucrative payouts than more traditional investments, such as bond or index funds. The problem is that there is no such thing as an investment that is both safe and highly profitable. The leveraging of ETNs, which involves borrowing money in order to invest, has resulted in double or triple the losses compared to what would have been sustained in more traditional investments. Additionally, because UBS retained the right to redeem the ETNs in the event that the market crashed, many investors have been forced to accept the losses and accept a small fraction of what they invested.
UBS ETRACS ETNs are unsecured debt securities designed to track the total return of certain market indexes. UBS characterizes the notes as “senior” and “unsubordinated.” Unsubordinated or senior debt must be repaid before any other form of debt. If the debtor goes bankrupt, holders of this type of debt are the first to be paid.
The value of many of these ETNS has plummeted, sometimes by approximately 60%, triggering mandatory redemption and raising questions about sales practice violations by the brokers who recommended the investments.

What is a Business Development Company (BDC)?
A Business Development Company (BDC) is typically a publicly traded company that is similar to closed-end investment funds. They generally invest in small and mid-sized companies that are either developing or that are financially distressed.
BDCs were created in 1980 through a Congressional amendment to the Investment Company Act of 1940. One of the primary differences between a BDC and a venture capital fund is that BDCs typically allow non-accredited investors to invest.
The Investment Company Act of 1940 sets out several requirements for BDC. For example, BDC are required to be a domestic company and must be registered with the SEC. They must maintain at least 70% of their assets in U.S. firms with market values of less than $250 million and must distribute over 90% of their profits.

Due Diligence Requirement
FINRA requires brokerage firms to conduct due diligence on investments, such as UBS ETRACS 2xLeveraged Long Wells Fargo Business Development Company Index (BDCL), and to conduct a suitability analysis when recommending securities to a customer that takes into account the customer’s knowledge and experience.
